Summary

Summary:

Assists Corporate Legal team with a broad range of initiatives including corporate contracts, governance, legal and regulatory compliance, foreign licensure, intellectual property and litigation. Maintains the company’s contracts database and files; completes forms, runs reports and provides other assistance as needed.

Responsibilities

  • Update and maintains the company’s corporate contracts and contracts management database by scanning in contracts and populating profile fields; runs standard reports on database information.
  • Draft legal and regulatory compliance filings
  • Assist with corporate compliance monitoring, data security and litigations using various programs such as VONTU and Discovery Accelerator
  • Assist with annual budget, management of MCLE compliance and other business management tasks as assigned
  • Assist in contract execution process and conjunctively work with attorneys and affiliated internal departments to ensure completeness of contract for record-keeping purposes
  • Assist with a variety of information security initiatives designed to protect Esurance information and the privacy of Esurance’s customers such as reviewing hard copy and electronic files against the corporate document retention guidelines, and disposing of documents in accordance with those guidelines.
  • Maintain corporate minute books, stock ledgers, certificate of authority files and records. Assists with stock certificate repurchases and redemptions, and performs a variety of other tasks related to the proper management and governance of Esurance’s various corporate entities.
  • Review outside counsel and other vendor invoices; prepares same for submission to Accounts Payable and update tracking sheet to ensure budget requirements are met.
  • Legal routing of subpoenas and other legal correspondence to various departments within the company.
  • Administrative tasks as assigned by paralegals, attorneys and executives.

Qualifications

 

  • Detail-oriented with strong organizational management skills, ability to work well under deadlines in a changing environment and perform multiple tasks effectively and concurrently.
  • Able to work effectively and courteously with, attorneys, senior executives and other contacts.
  • Demonstrated ability to work effectively independently, and within a collaborative team oriented environment using sound judgment in decision-making.
  • Excellent communication skills both oral and written
  • Demonstrated proficiency with Microsoft Office products (Excel, PowerPoint, and Word).
  • Must have legal research skills.
  • Must be self-motivated.

 

Experience / Education:

  • High school diploma or equivalent education required.
  • Paralegal certificate preferred.
  • 1-2 years of relevant legal experience within a law firm or in-house corporate legal department preferred; equivalent work experience will be considered.
